This document forms part of the RHIXO controlled legal framework and applies as described below. It operates together with the RHIXO Customer Agreement, RHIXO Product and Service Schedule, accepted order and other incorporated documents where relevant.
1. Platform IP
InnovatechIQ or its licensors retain ownership of product software, source code, object code, APIs, data models, workflows, templates, design systems, documentation, AI orchestration, Digital Workforce technology, know-how, methods, improvements and associated intellectual property.
2. Customer materials
The Customer retains rights it lawfully holds in data, logos, photographs, text, documents and other material supplied by it. The Customer grants the rights necessary to process and use those materials to provide the Service and warrants it has authority to do so.
3. Deliverables and generated content
Ownership or licence rights in customer-specific deliverables are governed by the Product Schedule. Unless expressly transferred, platform components, reusable templates, libraries, methods and tooling embedded in a deliverable remain InnovatechIQ IP. A transfer of a finished deliverable does not transfer the underlying platform.
4. Trade marks and brands
Names, logos, product identities and associated goodwill remain the property of their respective owners. Use must comply with the applicable Brand Kit, trade mark rules and written permissions. A non-exhaustive trade mark register may be maintained separately so legal documents do not become stale when the portfolio changes.
5. Restrictions
Except where law permits despite a contractual restriction, users must not reverse engineer, decompile, disassemble, clone, circumvent licensing, remove ownership notices, create an unauthorised derivative platform, resell access, sublicense or commercially exploit platform technology outside the rights granted.
6. APIs and integrations
API access is licensed for authorised integration use only. Keys and tokens must be secured. We may revoke or rotate credentials for security, misuse or termination. Integration does not transfer ownership of either party's systems.
7. Open-source and third-party components
Third-party and open-source components remain subject to their applicable licences. Nothing in our terms expands or restricts rights that arise directly under those licences.
8. Feedback
The Customer may provide feedback voluntarily. Unless otherwise agreed, we may use feedback to improve products without transferring ownership of Customer Data or confidential information.
9. Infringement notices and enforcement
IP concerns should be lodged by emailing team@rhixo.com.au with sufficient detail to investigate. We may remove or restrict access to material while a credible claim is assessed.
